Terms of service

1. Agreement

By creating an account or using the Services, you agree to these terms and to our privacy policy. If you use the Services for a company, you confirm that you are allowed to accept these terms for it. If you have a separate written agreement with us, that agreement applies where it differs from these terms.

The Services are for businesses. You must be at least 18 to use them.

2. Accounts

• Give accurate information and keep it up to date.
• Keep your sign-in details secret. You are responsible for activity under your account.
• Your company's administrator controls who can use the company account and what each person can do.
• Tell us at support@octagems.com right away if you think your account has been used without permission.

3. Fees

Fees for the Services are the ones agreed with you when you sign up. You are responsible for paying them on time, and for any taxes that apply to them.

4. Your data

Everything you and your team put into the Services, including inventory, customers, vendors, memos, invoices, payments, photos, videos and files (“Your Data”), belongs to you. You allow us to store and process Your Data only as needed to provide, secure and support the Services. We handle personal information as described in our privacy policy.

You are responsible for Your Data and for having the right to put it into the Services, including any notice or consent your own customers and vendors need.

5. Acceptable use

You agree not to:

• break any law, including export, sanctions and anti-money-laundering laws;
• record or sell goods you know to be stolen, counterfeit or misdescribed;
• upload malware, or try to access accounts, data or systems that are not yours;
• disrupt the Services or get around their security;
• copy, resell or reverse engineer the Services, except where the law allows it.

6. Your business records

OctaGems helps you keep track of stock, memos, costs, invoices and payments. It is not legal, tax or accounting advice. Prices and reference figures you enter, such as Rap prices, come from you or from third parties. Check figures before you rely on them.

7. Third-party services

The Services may work with services we do not control, such as your email provider. Their own terms apply to your use of them, and we are not responsible for them.

8. Our software

We own the Services, including the software, design and the OctaGems name and logo. You may use the Services for your business while your account is active, under these terms.

9. Changes to the Services

We may change, add or remove features of the Services over time.

10. Ending your use

• You can stop using the Services and ask us to delete your account at any time. See Delete your account.
• We may suspend or end your access if you seriously or repeatedly break these terms, or if needed to protect the Services or other users.

11. Disclaimers

To the extent the law allows, the Services are provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not promise the Services will be uninterrupted or error-free.

12. Limitation of liability

To the extent the law allows, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability for any claim about the Services is limited to the fees you paid us for the Services in the 12 months before the claim arose.

13. Governing law

These terms are governed by the laws of the United States and of the state in which OctaGems is organized. Before bringing a claim, please contact us at support@octagems.com so we can try to resolve it first.

14. General

• If we change these terms, we will update the effective date at the top, and tell you in the app or by email if the changes are significant.
• If any part of these terms can't be enforced, the rest still applies.
• If we don't enforce a right, we have not given it up.
